BROADCASTING & STREAMING LICENSE AGREEMENT

Version 1.1 — Effective Date: Upon Signature

This Broadcasting & Streaming License Agreement ("Agreement") is entered into between the undersigned content owner/authorized representative ("Licensor") and Unity 89.1 FM, operated by Unity89FM ("Licensee").

1. GRANT OF LICENSE
Licensor hereby grants Licensee a non-exclusive, royalty-free license to:

• (a) Broadcast the submitted audio content ("Content") on Unity 89.1 FM terrestrial and internet radio station;
• (b) Stream the Content on Licensee's streaming platform and website;
• (c) Use up to 30-second previews of the Content on the Licensee's website;
• (d) Use the Content title, artist name, and album artwork for promotional purposes on social media and the station's website.

This licence covers both the sound recording (the master) and the underlying musical work (the composition), including the right to publicly perform the composition by broadcast and by streaming. Licensee holds no licence with any performing rights organisation or collecting society, and relies on this direct grant.

For the avoidance of doubt, “royalty-free” means that no fee or royalty is payable by Licensee to Licensor under this Agreement. It does not waive, assign or otherwise affect any royalties administered on Licensor's behalf by a collecting society. Licensor should note, however, that Licensee is not licensed by any such society — see Section 2(d).

2. REPRESENTATIONS & WARRANTIES
Licensor represents and warrants that:

• (a) Licensor is the owner or authorized representative of the Content and has the legal right to grant this license;
• (b) The Content does not infringe upon any third-party intellectual property rights, including copyrights, trademarks, or rights of publicity;
• (c) All necessary permissions, licenses, and clearances for the Content (including samples, covers, or derivative works) have been obtained.
• (d) Licensor has not assigned the public performance right in the composition to any performing rights organisation or collecting society (such as ASCAP, BMI, SESAC, GMR, PRS, APRA AMCOS, SOCAN or GEMA), and the composition is not administered by a music publisher — or, if it is, Licensor has disclosed this to Licensee in writing before signing. Licensor understands that Licensee holds no licence with any such body and can only broadcast music licensed directly by the person who controls it.

If Licensor is a member of a collecting society, or does not control both the recording and the composition, Licensor should tell Licensee rather than signing. Licensee would rather decline a track than air one it has no right to.

3. CONTENT GUIDELINES
Licensor acknowledges that Content containing explicit language will be scheduled for broadcast only during FCC Safe Harbor hours (10:00 PM to 6:00 AM Central Time). Licensee reserves the right to classify Content as explicit based on its own review.

4. TERM & REVOCATION
This license remains in effect until revoked by Licensor in writing via email to music@unity89fm.com. Upon revocation, Licensee will remove the Content from rotation within 30 business days.

5. INDEMNIFICATION
Licensor agrees to indemnify, defend, and hold harmless Licensee from any claims, damages, or expenses arising from any breach of the representations and warranties in this Agreement.

6. NO COMPENSATION
Licensor acknowledges that no monetary compensation is provided under this Agreement. The consideration for this license is the promotional exposure provided by the broadcast and streaming of the Content.

7. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Texas.
