Broadcasting & Streaming License Agreement

BROADCASTING & STREAMING LICENSE AGREEMENT

Version 1.0 — Effective Date: Upon Signature

This Broadcasting & Streaming License Agreement ("Agreement") is entered into between the undersigned content owner/authorized representative ("Licensor") and Unity 89.1 FM, operated by Unity89FM ("Licensee").

1. GRANT OF LICENSE
Licensor hereby grants Licensee a non-exclusive, royalty-free license to:

  • (a) Broadcast the submitted audio content ("Content") on Unity 89.1 FM terrestrial and internet radio station;
  • (b) Stream the Content on Licensee's streaming platform and website;
  • (c) Use up to 30-second previews of the Content on the Licensee's website;
  • (d) Use the Content title, artist name, and album artwork for promotional purposes on social media and the station's website.

2. REPRESENTATIONS & WARRANTIES
Licensor represents and warrants that:

  • (a) Licensor is the owner or authorized representative of the Content and has the legal right to grant this license;
  • (b) The Content does not infringe upon any third-party intellectual property rights;
  • (c) All necessary permissions, licenses, and clearances for the Content have been obtained.

3. CONTENT GUIDELINES
Licensor acknowledges that Content containing explicit language will be scheduled for broadcast only during FCC Safe Harbor hours (10:00 PM to 6:00 AM Central Time). Licensee reserves the right to classify Content as explicit based on its own review.

4. TERM & REVOCATION
This license remains in effect until revoked by Licensor in writing via email to music@unity89fm.com. Upon revocation, Licensee will remove the Content from rotation within 30 business days.

5. INDEMNIFICATION
Licensor agrees to indemnify, defend, and hold harmless Licensee from any claims, damages, or expenses arising from any breach of the representations and warranties in this Agreement.

6. NO COMPENSATION
Licensor acknowledges that no monetary compensation is provided under this Agreement. The consideration for this license is the promotional exposure provided by the broadcast and streaming of the Content.

7. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Texas.
